Bridgepoint Group agreed on 29 June to acquire Kayne Anderson Real Estate, a US manager of real estate equity and debt funds with US$22bn of assets, for an upfront enterprise value of about US$1.39bn.
Why Bridgepoint Group plc is buying Kayne Anderson Real Estate
Bridgepoint said the deal adds real estate alongside private equity, credit, infrastructure and secondaries, raises US-domiciled management fees from 28% to 42% of the total and brings more than 115 new institutional investor relationships. It expects mid-single-digit earnings-per-share accretion in 2027 and more than 20% in 2028.
“This marks another major step forward in our strategy to strengthen our position as a leading global middle-market private markets platform.”
Deal terms and financing
Bridgepoint pays US$759m in cash from balance-sheet resources and credit facilities and issues about 189 million shares, worth about US$634m according to AJ Bell. Additional earn-out consideration depends on revenue and management-fee hurdles. The price is a high single-digit multiple of projected 2027 EBITDA.
Regulatory approvals and timing
Completion requires Bridgepoint shareholder approval, regulatory approvals, fund client consents and the restructuring of KARE, and is expected by the end of 2026. Holders of about 36% of Bridgepoint's shares have undertaken to vote in favour.
Market context
KARE invests in medical office, seniors housing, student housing, multifamily and light industrial property. Its flagship KAREP VII fund closed at US$5.12bn in May 2026. Bridgepoint shares rose 9.3% on the announcement.
