Clayton, Dubilier & Rice and McKesson agreed on 6 October to acquire Option Care Health for $32.05 per share in cash, valuing the home-infusion company at about $5.8bn including debt.
Why CD&R and McKesson is buying Option Care Health
The structure gives McKesson a large minority stake in a fast-growing alternate-site care business that sits close to its specialty pharmaceutical distribution operations, while CD&R takes control as majority owner. Option Care provides infusion therapies at home and in outpatient suites, a segment that has grown as care shifts away from hospitals.
Deal terms and financing
Shareholders receive $32.05 a share in cash, about 37% above Option Care's closing price on 5 October. At completion CD&R will own 51% and McKesson 49% of the business.
Regulatory approvals and timing
Closing requires approval by Option Care shareholders and regulatory clearances, and is targeted for the first half of 2027.
Market context
The deal is one of the larger US healthcare take-privates of the year and arrives as sponsors look for partnership structures with strategic buyers to share the cheque on large healthcare-services assets.
