De' Longhi said on 15 October that it had agreed to buy the entire stake held by DLI Limited in its professional coffee division for about €662.5m in cash, raising its holding in the business behind La Marzocco and Eversys from 61.56% to 88.02%.
Why De' Longhi S.p.A. (via De Longhi Benelux II S.à r.l.) is buying De' Longhi professional division (La Marzocco, Eversys) – 26.46% stake held by DLI Limited
The professional division generated revenue of €569m in the 12 months to 30 June 2026, up 38%, with adjusted EBITDA of €172m, and accounts for about a quarter of group profits. De' Longhi said the purchase would increase the division's contribution to group net profit and simplify the ownership structure, while leaving the group financial flexibility for further acquisitions and shareholder returns. The company expects the division's revenue to exceed €600m by the end of 2026.
Deal terms and financing
The division was valued at an enterprise value of €2.36bn and an equity value of €2.50bn. DLI Limited sells to De' Longhi subsidiary De Longhi Benelux II S.à r.l. for about €662.5m, payable in a single instalment at closing, scheduled for 16 October 2026. The purchase is funded from the group's cash, with net cash of €687m at 30 June, and dedicated debt facilities. De' Longhi made non-binding expressions of interest to all shareholders of the division on identical terms; holders of the remaining 11.98% did not take part and keep their existing exit rights, including the option to request an IPO of the division from March 2028 or a demerger from March 2029.
Regulatory approvals and timing
Because DLI Limited controls De' Longhi S.p.A., the deal is a related-party transaction of greater importance under Consob rules. The board approved it unanimously after a favourable opinion from the Independent Directors Committee, with chairman Fabio de' Longhi and vice-chairman Silvia de' Longhi abstaining. An information document will be published within the statutory timeframe.
Market context
De' Longhi combined Eversys with La Marzocco in a deal announced in December 2023, creating a professional coffee machine hub alongside its household appliance brands, which include De'Longhi, Kenwood, Braun and NutriBullet. The group reported 2025 revenue of €3.8bn.
