e-finance for Digital and Financial Investments agreed to acquire Tamweely Financial Services, an Egyptian lender to micro, small and medium-sized enterprises, for up to EGP 4.8bn, according to a bourse filing reported on 13 August.
Why e-finance for Digital and Financial Investments S.A.E. is buying Tamweely Financial Services
e-finance said pairing Tamweely's lending platform with the cash-flow data running through its own payment rails would let it underwrite borrowers beyond traditional collateral and expand into recurring financial services revenue, embedded finance and data-led lending. Management expects the deal to lift earnings per share immediately.
“We are proud to advise eFinance on a transaction that has the potential to shape the next chapter of the Group's growth story”
Deal terms and financing
The consideration combines EGP 956.4m in upfront cash with about 146.1 million new e-finance shares priced at EGP 26.34, giving Tamweely's shareholders close to 4% of e-finance, plus a deferred payment that depends on Tamweely meeting FY2026 and FY2027 net income targets.
Regulatory approvals and timing
The Financial Regulatory Authority allowed the transaction to proceed on 20 August and e-finance's extraordinary general meeting approved it in September; Egyptian Competition Authority approval is still required, with completion targeted for the third or fourth quarter of 2026.
Market context
Tamweely, founded in 2017, has about 250 branches, some 600,000 clients and an EGP 20bn loan book. A consortium of SPE Capital, the EBRD, Tanmiya Capital Ventures and British International Investment bought it from state-owned shareholders in September 2024 for EGP 2.8bn.
