Kroger announced on 1 July that it has agreed to acquire Giant Eagle, a family-owned food and pharmacy retailer based in Cranberry Township, Pennsylvania, for about $1.65bn.
Why The Kroger Co. is buying Giant Eagle, Inc.
Giant Eagle generates about $9bn of annual sales from 197 supermarkets and 11 standalone pharmacies across northern Ohio, western Pennsylvania, West Virginia, Maryland and Indiana. Kroger described it as a well-run regional grocer with strengths in fresh food, pharmacy, private label and loyalty.
Deal terms and financing
The consideration is $1.25bn in cash and the assumption of about $400m of liabilities, subject to customary adjustments. Kroger will fund the deal with cash; its board approved the transaction unanimously.
Regulatory approvals and timing
Closing is expected in 2027 after the HSR waiting period, and Kroger and Giant Eagle expect to make limited store divestitures to obtain clearance.
Market context
Chief executive Greg Foran said the deal expands Kroger into attractive adjacent markets, according to Supermarket News. Giant Eagle's stores sit alongside Kroger's Ohio base around its Cincinnati headquarters.
