Continental agreed on 4 July to sell its ContiTech division to Lone Star Funds for an enterprise value of €4.0bn, plus up to €250m in performance-based payments.
Why Lone Star Funds (Lone Star Fund XIII) is buying ContiTech (Continental AG)
Lone Star said it would develop ContiTech's product range and technology as a standalone company and target specific areas for growth. For Continental, the sale completes its strategic realignment and leaves it focused on tyres.
“ContiTech is a true leader in the industrial solutions space, and we are pleased to make this investment in its future.”
Deal terms and financing
The price is an enterprise value, with up to €250m more payable in later years depending on performance. Continental expects about €3.1bn of cash on completion after the transfer of liabilities, mainly pensions and leases, and has said most of it will be returned to shareholders.
Regulatory approvals and timing
The deal is subject to antitrust and other regulatory approvals and could close by the end of 2026.
Market context
ContiTech traces its roots back 155 years and supplies agriculture, construction, energy and mining customers. Continental spun off its automotive arm as Aumovio in 2025.
