PAI Partners and Fondo Italiano d'Investimento signed a binding agreement on 5 May to acquire all of Mecaer Aviation Group, an Italian maker of flight-critical systems for helicopters and business jets.
Why PAI Partners and Fondo Italiano d'Investimento is buying Mecaer Aviation Group S.p.A.
The buyers plan to expand Mecaer's presence on new and existing aircraft platforms, support consolidation in aerospace and drive growth in Italy, the rest of Europe and North America.
Deal terms and financing
PAI invests through PAI Mid-Market Fund II, its second deal from the fund, and FII through Fondo Italiano Consolidamento e Crescita II. The sellers are FII's earlier FICC fund and Stellex Capital Management. The founding families, through S.B.I., reinvest alongside the buyers, LGT Capital Partners and management. Terms were not disclosed.
Regulatory approvals and timing
Completion is expected later in 2026, following customary regulatory approvals.
Market context
Headquartered in Borgomanero, Mecaer runs seven production and maintenance sites in Italy, the US and Canada. Revenue reached €242m in 2025, roughly double the level when FICC invested in 2021.
