PennyMac Financial Services agreed on 11 February to acquire the mortgage subservicing business of Cenlar Capital Corporation for $172.5m in cash upfront plus up to $85m of contingent payments.
Why PennyMac Financial Services, Inc. is buying Cenlar Capital Corporation (subservicing business)
Pennymac chairman and chief executive David Spector said the deal would make it the second-largest mortgage servicer in the US and one of the largest subservicers, supporting growth in capital-light, fee-based revenue. Pennymac plans to apply its SSE servicing technology to Cenlar's portfolio and expects significant synergies; talks began in mid-2025.
Deal terms and financing
The all-cash deal comprises $172.5m upfront and up to $85m of contingent consideration over three years. Pennymac is acquiring mainly subservicing contracts and servicing operations, which on Cenlar's current portfolio amount to up to $740bn of unpaid principal balance and 2 million loans. It will run the business as a non-bank entity and transition about 100 institutional clients.
Regulatory approvals and timing
Closing requires regulatory approvals, and Cenlar will surrender its bank charter when the deal completes. In its second-quarter 2026 results Pennymac said it had continued to make progress and expected the transaction to close in the fourth quarter of 2026.
Market context
Cenlar Capital is the parent of Cenlar FSB, one of the largest US mortgage subservicers, Scotsman Guide noted. Pennymac serviced $734bn of loans at the end of 2025 and originated $145bn of loans that year.
