Prysmian agreed to acquire Harvey, Illinois-based Atkore for $95.00 per share in cash, the companies said on 3 August, in a deal with an enterprise value of about $3.8bn.
Why Prysmian S.p.A. is buying Atkore Inc.
Prysmian said Atkore's complementary products, exposure to electrification and data centre investment and synergy potential would accelerate its shift into a full electrical solutions provider in North America.
“Atkore offers an attractive combination of complementary products, structural growth exposure and meaningful synergy opportunities”
Deal terms and financing
The price is a 30% premium to Atkore's 31 July closing price and 57% above its price before it announced a strategic review in September 2025. Prysmian will fund the deal with debt, including hybrid bonds, and equity, including treasury shares, while aiming to keep its investment-grade rating.
Regulatory approvals and timing
Atkore held its shareholder vote on 7 October 2026. Closing is targeted by the end of 2026, subject to regulatory approvals.
Market context
Atkore makes electrical raceway, conduit and related infrastructure products. The deal is the culmination of a strategic review it launched in 2025.
