Why Rosebank Industries plc is buying CPM and MW Components

Rosebank said both companies fit its 'Buy, Improve, Sell' model and targeted an improvement of 6 to 7 percentage points in each business's operating margin through restructuring, simplification and operational work, alongside better cash generation. MW Components, based in Charlotte, North Carolina, makes engineered fasteners, springs and precision metal parts and had 2025 revenue of $500m at a 15% adjusted operating margin. CPM, based in Blaine, Minnesota, makes processing equipment for oilseed, animal feed, renewable fuels and plant-based food, with pro forma 2025 revenue of $713m at a 22% margin.

Deal terms and financing

The price was about $2.1bn for CPM, roughly 12 times 2025 EBITDA, and about $950m for MW Components, roughly 10 times, both on a cash-free, debt-free basis and excluding a potential earn-out linked to CPM's 2026 performance. Rosebank financed the deal with an underwritten institutional placing of about £1.9bn at 330p a share, a retail offer and new debt facilities sized for opening leverage of about 2.75 times EBITDA.

Regulatory approvals and timing

Completion required Rosebank shareholder approval at a general meeting on 23 March 2026 and customary regulatory clearances. American Securities announced the completion of the CPM sale on 12 May 2026 and of the MW Components sale on 28 May 2026.

Market context

Rosebank was formed in 2024 by Simon Peckham and other former Melrose Industries executives and bought Electrical Components International in August 2025. American Securities had owned MW Components since 2017 and CPM since 2018.
