S-Bank announced on 9 July a recommended cash tender offer of €17.20 per share for all shares in Oma Savings Bank, valuing the Nasdaq Helsinki-listed lender at about €571.4m.
Why S-Bank Plc is buying Oma Savings Bank Plc
S-Bank said greater scale would help fund digital investment and absorb rising regulatory and technology costs, and that Oma's strength with small and medium-sized businesses and agricultural customers complements its retail franchise.
“We are very pleased to announce our tender offer for the shares in Oma Savings Bank.”
Deal terms and financing
The €17.20 cash price was a 47.0% premium to Oma's closing price of €11.70 on 8 July and 52.5% above its 12-month volume-weighted average. S-Bank funded the offer from existing resources and planned a share issue of up to €400m to SOK and the S Group cooperatives to keep its capital strong. Completion required more than 90% of the shares and votes plus regulatory approvals.
Regulatory approvals and timing
The offer period ran from 17 July to 25 September 2026. S-Bank said on 30 September that it had reached the 90% threshold and held about 96.8% of the shares and votes, with settlement expected on 7 October 2026; it intends to delist Oma from Nasdaq Helsinki.
Market context
Oma Savings Bank serves more than 200,000 customers through 48 branches and digital channels and employs about 600 people. Five savings bank foundations, including Etelä-Karjalan Säästöpankkisäätiö, held about 59.9% and committed to accept.
