Gibraltar Industries has agreed to sell D.S. Brown, its Infrastructure business, to Saint-Gobain for $208m in cash.
Why Saint-Gobain is buying D.S. Brown (Gibraltar Industries' Infrastructure business)
Gibraltar chairman and chief executive Bill Bosway said the sale was another step in simplifying the portfolio, sharpening the group's focus and resource allocation on building products and structures end-markets. The disposal follows Gibraltar's exit from its Renewables business, completed in July.
Deal terms and financing
The $208m cash price is subject to customary post-closing adjustments. Gibraltar expects the transaction to be highly tax efficient and will use the gross proceeds to accelerate debt reduction; management will update its 2026 outlook for the sale with its third-quarter results.
Regulatory approvals and timing
The deal is subject to customary closing conditions, including required regulatory approvals, and is expected to close in the fourth quarter of 2026.
Market context
D.S. Brown, of North Baltimore, Ohio, designs and manufactures engineered products for the bridge, highway and airport industries, including expansion joint systems, structural bearing assemblies and pavement sealing systems. Gibraltar bought the business in 2011 for about $98m.
