Why TransDigm Group Incorporated is buying Jet Parts Engineering and Victor Sierra Aviation Holdings

The deal expands TransDigm's commercial aerospace aftermarket business. Nearly all revenue at both companies comes from the commercial aftermarket, through Parts Manufacturer Approval (PMA) components and repair services that offer alternatives to original-equipment parts.

Deal terms and financing

The all-cash purchase covers two businesses with combined revenue of about $280m in calendar 2025. TransDigm later funded it with cash on hand and the proceeds of debt offerings completed in February 2026.

Regulatory approvals and timing

The deal was subject to US regulatory approval and customary closing conditions. TransDigm announced on 7 April 2026 that it had completed the acquisition.

Market context

Seattle-based Jet Parts Engineering serves commercial, regional and cargo airlines and MRO providers, employing about 300 people, with repair sites in Texas, New York, Florida, Alabama and the UK. Victor Sierra, whose brands include McFarlane Aviation, Tempest Aero Group and Aviation Products Systems, focuses on general and business aviation and employs about 400 people.
