Why UTG Brands Management Group is buying Playboy China joint venture (50%)

Playboy said the guaranteed payments were expected to match or exceed its current net cash flow from China while it keeps half of the upside, and that the deal would be immediately accretive to earnings. UTG, the operating arm of United Trademarks Group, takes over management of the brand in mainland China, Hong Kong and Macau.

Deal terms and financing

UTG pays US$45m over two years for its 50% interest in the joint venture that manages and licenses Playboy's intellectual property in Greater China, plus US$67m in guaranteed minimum distributions over eight years and US$10m in brand support payments over three years. UTG paid a US$9m deposit at signing. Playboy said at least US$50m would go to debt reduction.

Regulatory approvals and timing

The initial closing took place on 20 March 2026, when UTG paid US$15m for 16.67% of the joint venture plus a US$4m brand support payment, according to Playboy's 23 March release. The remaining 33.33% is to be acquired for US$30m in later closings, which Playboy's quarterly filing set for on or before January 2027 and January 2028.

Market context

China is Playboy's largest licensing market. The company has shifted to an asset-light licensing model and has been using asset sales to reduce senior secured debt.
