Priority Technology Holdings agreed to be taken private by an investor group led by its chairman and chief executive Thomas Priore for $8.05 per share in cash, valuing the payments company at about $1.6bn including debt.
Market context
Priore had first offered $6-$6.15 a share in late 2025, drawing opposition from Buckley Capital and Steamboat Capital; a special committee negotiated the higher price. Because Priore controls a majority of the stock, the deal also needs a majority of unaffiliated holders, and a shareholder law firm has opened an investigation into its fairness.
