Williams said on 3 August it had agreed to acquire Momentum Midstream, a Haynesville natural gas gathering and pipeline operator, in a transaction valued at up to $5.5bn.
Why The Williams Companies is buying Momentum Midstream
Williams said the deal establishes a leading Haynesville position to serve growing LNG, power and industrial demand along the Gulf Coast under long-term take-or-pay contracts, and creates room for further Transco expansions.
“We look forward to the Momentum team joining the Williams family as we invest in these impressive assets that serve as a catalyst for continued growth.”
Deal terms and financing
Consideration is about $3.5bn in cash and debt plus about $2bn of Williams shares. Williams said the deal is accretive to available funds from operations and EPS and raised its 2026 adjusted EBITDA guidance midpoint by $200m to $8.4bn.
Regulatory approvals and timing
The deal required clearance under the Hart-Scott-Rodino Act. Williams completed the acquisition in early September, Pulse 2.0 reported on 5 September.
Market context
Momentum's assets include more than 4,000 miles of pipe, over 1 million dedicated acres and three take-or-pay pipelines with 4.05 Bcf/d of capacity. The seller was private equity firm EnCap Flatrock Midstream.
