Yum China Holdings agreed on 16 June to acquire ownership of the Pizza Hut brand in mainland China from Yum! Brands for $1.2bn in cash.
Why Yum China Holdings is buying Pizza Hut brand in mainland China
Yum China said owning the brand would give it more freedom over menus, store formats and operations, and that ending the licence fees would lift restaurant and operating margins and lower the sales threshold needed to open new stores. It expects the deal to add to diluted earnings per share from closing, with mid-single-digit accretion in 2027 and 2028.
Deal terms and financing
The price was paid in cash and financed with a mix of cash and debt; at completion the company used an offshore yuan bridge loan of about $1.2bn. Yum China kept its plan to return $1.5bn to shareholders in 2026. Yum! Brands will also offer KFC China a decade-long financial incentive tied to system sales growth.
Regulatory approvals and timing
The deal was expected to close in the third quarter of 2026 and was completed on 7 August 2026.
Market context
Pizza Hut China ran 4,375 restaurants in more than 1,100 cities at the end of March 2026 and reported 2025 segment revenue of $2.3bn. Yum China aims for more than 6,000 Pizza Hut stores by 2028 and to double the brand's 2024 operating profit by 2029.
