Why Advent International, FedEx, A&R and PPF consortium is buying InPost S.A.

The consortium said it would support InPost's existing strategy, including further expansion of its parcel-locker network and consumer digital services, with FedEx contributing its global network and technology. InPost keeps its brand, Polish head office and management under chief executive Rafał Brzoska.

Deal terms and financing

The price is a 50% premium to InPost's undisturbed share price on 2 January 2026 and 53% to the three-month volume-weighted average before that date. Shareholders holding 48% of the shares supported the deal. PPF sold its stake and reinvested part of the proceeds for a 10% share of the consortium; Brzoska kept his stake through A&R. The consortium had committed financing.

Regulatory approvals and timing

The offer needed 80% acceptances and antitrust approvals. It opened in May and about 89.8% of shares had been tendered by 18 September, Pulse 2.0 reported. The bidders declared the offer unconditional, with settlement on 30 September and a post-acceptance period to 7 October 2026, Alimarket reported.

Market context

InPost, founded by Brzoska, runs one of Europe's largest automated parcel-locker networks across Poland, the UK, France and other markets. The deal returns Advent to the business it took private once before, ahead of InPost's 2021 listing in Amsterdam.
