Amneal Pharmaceuticals agreed on 22 April to acquire Kashiv BioSciences for $750m at closing, split equally between cash and stock, plus up to $350m in contingent payments.
Why Amneal Pharmaceuticals, Inc. is buying Kashiv BioSciences, LLC
Amneal said the deal makes it a fully integrated global biosimilars company ahead of a projected $300bn-plus wave of biologic loss of exclusivity over the next decade. Kashiv is one of a small group of US-based companies with end-to-end biosimilars development and manufacturing capabilities, and management targeted six commercial biosimilars by 2027.
“This acquisition establishes Amneal as a fully integrated global biosimilar platform at scale”
Deal terms and financing
Amneal pays $375m in cash and $375m in equity at closing, plus up to $350m tied to regulatory milestones, royalties and operating funding. Management said paying half in stock would be about 8% dilutive and expected $400m-500m of cumulative synergies.
Regulatory approvals and timing
The transaction required Amneal shareholder approval and regulatory clearances. Amneal announced on 10 August 2026 that it had completed the acquisition.
Market context
Kashiv has invested about $900m over 12 years in its platform, according to Amneal's presentation as reported by Yahoo Finance, and the two companies had collaborated for more than a decade before the deal.
