Why Analog Devices, Inc. is buying Empower Semiconductor

ADI said power density, not just total power, has become the limiting factor as AI computing scales, and that Empower's integrated voltage regulators and silicon capacitors move power conversion closer to the processor, improving efficiency. The deal expands ADI's addressable market in AI compute power delivery.

Deal terms and financing

ADI pays Empower's stockholders $1.5bn in cash; both boards approved the deal.

Regulatory approvals and timing

The transaction needed expiry of the Hart-Scott-Rodino waiting period and was expected to close in the second half of 2026. ADI announced completion on 7 July 2026.
