Esperion Therapeutics agreed on 1 May to be acquired by funds managed by ArchiMed for $3.16 a share in cash plus contingent payments, valuing the cardiometabolic drug company at up to about $1.1bn.
Why ArchiMed is buying Esperion Therapeutics, Inc.
Esperion said the deal gives shareholders immediate value at a compelling premium while preserving upside through milestone payments. ArchiMed said the company had a strong foundation to build on in cardiovascular and primary care markets.
Deal terms and financing
Shareholders receive $3.16 a share at closing, a 58% premium to the 30 April close, plus one non-tradeable CVR worth up to $100m in aggregate: $40m if 2027 US net sales of bempedoic acid products exceed $350m, and $60m if Enbumyst sales reach $160m in any year through 2030. Pharmakon Advisors funds provided debt financing and the deal had no financing condition.
Regulatory approvals and timing
The deal required Esperion shareholder approval and regulatory clearances. Esperion filed post-effective amendments in July 2026 stating that the merger had been completed, and deregistered its stock.
Market context
Founded in 2008 and based in Ann Arbor, Michigan, Esperion sells the cholesterol-lowering drugs Nexletol and Nexlizet. ArchiMed is a private equity firm focused exclusively on healthcare.
