Arclands Corporation and Joyful Honda said on 14 April that they had reached a basic agreement to integrate their businesses on an equal footing by forming a joint holding company through a share transfer.

Why Arclands Corporation is buying Joyful Honda Co., Ltd.

The companies said combining Arclands' and Joyful Honda's large-store operations, specialist-store know-how and product development would widen their store network, while consolidating suppliers, sharing private-brand products and integrating IT, payments and logistics would cut costs. They aim to build Japan's leading home-centre group around a 'specialist store collective' concept open to other chains.

Deal terms and financing

Each Arclands share would be exchanged for one share in the holding company and each Joyful Honda share for 1.15 shares, subject to change if conditions shift materially. No cash consideration is involved.

Regulatory approvals and timing

The deal requires a definitive agreement, shareholder approvals and regulatory clearances. FilingReader reported on 3 July 2026 that both companies had moved all milestones to 'to be determined' after Arclands found suspected improper accounting at Pets-first Holdings, a subsidiary acquired in June 2025, and Joyful Honda's August results confirmed the postponement.

Market context

Both companies are listed on the Prime Market of the Tokyo Stock Exchange. Joyful Honda reported net sales of ¥132.8bn for the year to 20 June 2026, and filed the merger announcement with the US SEC on Form CB because of its US shareholders.
