Why CrowdStrike Holdings, Inc. is buying Seraphic Security (Seraphic Algorithms Ltd.)

CrowdStrike cited data that 85% of the workday is spent in web browsers. Seraphic's technology runs inside the browser runtime across Chrome, Edge, Safari and Firefox on managed and personal devices. CrowdStrike plans to combine it with identity technology from SGNL, which it agreed to buy the previous week, to adjust access permissions based on real-time risk signals.

Deal terms and financing

CyberScoop reported, citing a source, that the deal was worth about $420m, paid mainly in cash with a portion in stock subject to vesting. CrowdStrike's 10-Q for the quarter to 30 April 2026 shows total consideration of $327.5m in cash, net of $1.1m of cash acquired, and $13.7m representing the fair value of replacement equity awards, for the 90.6% of Seraphic Algorithms Ltd. that its Falcon Funds did not already hold. It also issued about $35.6m of shares to certain Seraphic stockholders subject to service-based vesting.

Regulatory approvals and timing

The deal was expected to close in CrowdStrike's first fiscal quarter of 2027. The company's 10-Q states that it completed the acquisition on 3 February 2026.

Market context

The purchase was one of two security acquisitions CrowdStrike announced within a week, alongside the $740m deal for SGNL, as it expands beyond endpoint protection into identity and browser security.
