Eli Lilly agreed on 26 May 2026 to acquire Curevo, a clinical-stage vaccine developer near Seattle, for up to $1.5bn in cash.
Why Eli Lilly and Company is buying Curevo, Inc.
Lilly said the three acquisitions reflect a strategy to prevent disease at its source and to invest in differentiated technology platforms. Curevo's amezosvatein aims to match the efficacy of current shingles vaccines while reducing the side effects that discourage some patients from completing the two-dose course.
Deal terms and financing
Curevo shareholders receive an upfront payment and a later payment on a specified milestone, together worth up to $1.5bn in cash; the split was not disclosed. On the same day Lilly agreed to buy LimmaTech Biologics for up to $780m and Vaccine Company, bringing the three deals to more than $3.8bn, according to pharmaphorum.
Regulatory approvals and timing
The acquisitions are subject to customary closing conditions, including Hart-Scott-Rodino antitrust review.
Market context
HBM Healthcare Investments, which holds about 4.8% of Curevo after investing $13.3m in its 2025 Series B, said the sale would lift its net asset value per share by about 1.4%.
