FirstCash agreed on 23 June to acquire Ramsdens Holdings, a UK pawn, retail and financial services operator with 174 stores, for 600p a share in cash, valuing it at about £206m including an interim dividend.
Why FirstCash Holdings, Inc. is buying Ramsdens Holdings PLC
FirstCash said Ramsdens complements the H&T business it already owns, creating a UK network of almost 470 stores with limited overlap, and that its growth capital should expand pawn lending in Ramsdens' stores. It expects the deal to add to EBITDA and earnings per share.
“Ramsdens is a well-respected operator with a proven track record of operating successfully in the U.K. pawn market.”
Deal terms and financing
Shareholders were initially offered 600p in cash per share through Chess Bidco plus an interim dividend of up to 9p payable on 9 October. Gibson Dunn noted reports that some investors, including 6.8% holder Downing, were unhappy with the terms. On 16 July the cash price was raised to a final 675p, 49% above the 22 June close, valuing Ramsdens at about £232m.
Regulatory approvals and timing
The scheme of arrangement requires Ramsdens shareholder approval, court sanction and customary UK regulatory approvals; FirstCash expected to close by the end of 2026.
Market context
FirstCash operates more than 3,300 pawn stores in the US, Latin America and the UK. Ramsdens, which listed in 2017, raised its profit guidance for the year to September 2026 to £32m-£35m when it agreed the higher offer.
