CCC Intelligent Solutions has agreed to be taken private by a consortium led by GTCR and including Elliott Investment Management for US$7.75 a share in cash, in a deal with an enterprise value of about US$6.1bn, the Chicago-based company said on 15 October.
Why GTCR-led consortium (including Elliott Investment Management) is buying CCC Intelligent Solutions Holdings Inc.
CCC's board said the deal followed a review of strategic options with its advisers and delivered immediate, premium cash value. Chief executive Githesh Ramamurthy said the buyers' resources would help accelerate AI and agentic capabilities and expand CCC's network of insurers, repairers, carmakers and parts suppliers.
Deal terms and financing
Shareholders will receive US$7.75 a share, about 44% above the unaffected close on 9 July and 59% above the 30-day average to that date. J.P. Morgan is lead arranger of committed financing, with Citi participating, and the deal has no financing condition.
Regulatory approvals and timing
Completion requires CCC stockholder approval and regulatory clearances, including expiry of the Hart-Scott-Rodino waiting period. Closing is expected in the first quarter of 2027, after which CCC will be delisted from Nasdaq.
Market context
Bloomberg reported on 9 October that GTCR and Elliott were in advanced talks to buy CCC. CCC had been reviewing its options after Elliott built a significant stake in the company.
