Why INFRONEER Holdings Inc. is buying Swing Corporation

INFRONEER said combining Swing's water-treatment engineering and field staff with its own project management and civil engineering skills would create an end-to-end water and sewerage business, from design and construction to maintenance and operation, and that Swing's maintenance sites would help it expand into road and public-facility management.

Deal terms and financing

INFRONEER is buying all of Swing's shares, held in equal thirds by the three sellers. The planned price of ¥91.2bn is subject to adjustment under the agreement and excludes advisory and related costs.

Regulatory approvals and timing

The share transfer was scheduled for 1 July 2026, after review under Japan's Antimonopoly Act. INFRONEER published a notice of completion on 1 July 2026.

Market context

Swing was formed from Ebara's water-treatment divisions, with JGC and Mitsubishi joining as shareholders in 2010. It runs water supply businesses through public-private partnerships in Hiroshima Prefecture and Komoro City. INFRONEER's medium-term plan prioritises investment in infrastructure management, including concessions.
