Ipsen agreed on 29 June to acquire Kartos Therapeutics, a California developer of treatments for blood cancers, for $450m upfront and up to $1.3bn in milestone payments.
Why Ipsen S.A. is buying Kartos Therapeutics, Inc.
Ipsen said the deal strengthens its late-stage oncology pipeline. Navtemadlin is designed to restore the tumour-suppressing function of p53 and is being tested in TP53 wild-type myelofibrosis patients with a suboptimal response to ruxolitinib.
“This acquisition further strengthens our late-stage oncology pipeline”
Deal terms and financing
Ipsen acquires Kartos through a merger with a wholly owned subsidiary. The milestones include a significant regulatory approval payment and sales-based payments. Ipsen expected limited dilution to its 2026 guidance and accretion to core operating income from 2029.
Regulatory approvals and timing
Closing required expiry of the US Hart-Scott-Rodino waiting period and was expected by the end of the third quarter. Ipsen announced the completion in August 2026, according to Zonebourse.
Market context
The POIESIS trial is designed to enrol more than 600 patients at over 250 sites, with top-line data due in 2027 and a possible launch as early as 2028.
