Why Lattice Semiconductor Corporation is buying AMI

Lattice said combining its low-power FPGAs with AMI's platform firmware and manageability software would create the industry's most complete secure management and control platform for data centres, roughly doubling its serviceable market. The company said it would keep both businesses agnostic towards partners' chips.

Deal terms and financing

Lattice pays $1.0bn in cash and about $650m in its own shares, with the share count adjusting to the stock price before closing within a range of about 5.2 million to 6.1 million shares. Wells Fargo and Morgan Stanley provided committed financing.

Regulatory approvals and timing

The deal required regulatory approvals and was expected to close in the third quarter of 2026. Lattice completed it on 27 July 2026.
