MDA Space made a firm offer on 8 July to acquire about 70% of Collecte Localisation Satellites (CLS), the Toulouse-based Earth observation and satellite data analytics company, for about €567m in cash.
Why MDA Space Ltd. is buying Collecte Localisation Satellites (CLS)
MDA said the deal would combine its satellite and data assets with CLS's AI-driven analytics and IoT services to build a vertically integrated Earth observation analytics platform. It expects the deal to roughly double its recurring revenue and to add to adjusted EBITDA and adjusted earnings per share within the first year.
“Equally important, it preserves critical sovereign capabilities and capacity in France and Canada.”
Deal terms and financing
MDA will pay about €567m (C$920m) in cash, subject to adjustments, for an approximately 70% interest acquired from the shareholders of CLS's parent company, led by the Frère family's CNP. If CLS cannot refinance its existing debt at closing, MDA would fund about €198m to retire it. Committed financing comes from BMO Capital Markets, RBC Capital Markets and Scotiabank.
Regulatory approvals and timing
Under French law, signing the definitive securities purchase agreement is subject to the information and consultation of employee representative bodies. Completion, which also needs regulatory approvals, is expected by the end of 2026 or early 2027.
Market context
CLS was created by CNES in 1986 and has more than 14,000 customers in about 150 countries. Under CNP's ownership since 2020 it acquired businesses including Meteodyn, SAT ONE, Quiet-Oceans and NGIS, and it expects revenue of about €286m in 2026. The offer came weeks after MDA agreed to buy US satellite maker Blue Canyon Technologies.
