Nippon Seiki said on 28 August that it had signed an agreement to acquire DENSO's head-up display business, which projects speed and navigation data onto car windscreens.
Why Nippon Seiki Co., Ltd. is buying DENSO head-up display (HUD) business
Nippon Seiki, which makes instruments for cars, motorcycles and construction machinery, said combining DENSO's HUD development know-how and production base with its own would optimise development and manufacturing, build a stable global supply system and strengthen cost competitiveness. Growing HUD fitment rates make the business a priority in its medium-term plan.
Deal terms and financing
Nippon Seiki or its subsidiaries will acquire production equipment and related intellectual property; customer relationships will transfer with consent. DENSO's staff, land and buildings are excluded, and Nippon Seiki will subcontract production to DENSO for a period to smooth the transfer. The cash price, based on projected HUD cash flows, was not disclosed.
Regulatory approvals and timing
Execution, planned for 26 February 2027, requires clearance from the Japan Fair Trade Commission, other regulatory approvals and customer consents.
Market context
DENSO's largest shareholder is Toyota Motor with 22.24%. Nippon Seiki said the impact on its earnings would be minor.
