Why Nippon Television Holdings, Inc. is buying KANAMEL Inc.

Nippon TV said integrating KANAMEL's production capability with its own planning and distribution was essential to its medium-term plan of building a content business focused on creating intellectual property in drama, film, music and animation, including AI-enabled production. It also gains KANAMEL's consulting and global advertising production business, with subsidiaries in seven countries.

Deal terms and financing

Nippon TV will acquire 311,320 shares for ¥37,255m, plus advisory costs to be determined, taking it from 87,699 to 399,019 shares and 100% of voting rights.

Regulatory approvals and timing

Because KANAMEL's capital exceeds 10% of Nippon TV's, it became a specified subsidiary, requiring an extraordinary report. The transfer was scheduled for 24 April 2026; Nippon TV's first-quarter results published on 31 July 2026 listed KANAMEL and 25 subsidiaries as newly consolidated.

Market context

Nippon TV first acquired 22.1% of KANAMEL, then called AOI TYO Holdings, under a capital and business alliance in April 2025.
