Why Ohmnia Electronics, S.L. is buying Azkoyen, S.A.

Ohmnia said the offer gives existing shareholders a liquidity window and that Azkoyen will remain listed, according to Basque press reports of the announcement.

Deal terms and financing

The offer covers all 24.45m Azkoyen shares at €10.00 in cash, a maximum of €244.5m, and is conditional on acceptances above 50% of the capital. Financing is provided by CaixaBank and Banco Sabadell, according to press reports. Azkoyen said it had signed a confidentiality agreement with the offeror on 30 March 2026 and gave it limited due diligence access in June, but has no other agreement with Ohmnia.

Regulatory approvals and timing

Ohmnia filed for CNMV authorisation on 24 August and the regulator admitted the application on 4 September. The CNMC cleared the deal without conditions on 25 September, and Germany's Bundeskartellamt had also cleared it; final CNMV authorisation and the acceptance period were still pending in October 2026.

Market context

Azkoyen operates in coffee and vending systems, payment technologies, and time and security. Its board called the offer friendly on 28 July and appointed Lazard as independent financial adviser in September. Press commentary noted that the €10 price was below where Azkoyen shares traded shortly after the announcement.
