Sanoma acquired Vicens Vives, a Spanish provider of K12 learning content, on 30 April for an enterprise value of €40m.
Why Sanoma Corporation is buying Vicens Vives
Sanoma said the deal strengthens its leading position in Spain, which it describes as one of the largest K12 learning markets in Europe with about seven million students. Vicens Vives' printed and digital products complement those of Santillana, Sanoma Learning's local subsidiary, with little overlap.
“I am very pleased to announce the acquisition of Vicens Vives, a highly respected K12 learning content provider in Spain.”
Deal terms and financing
The €40m enterprise value includes net debt and represents 6.8 times EBITDA. Sanoma financed the purchase with a new bilateral short-term loan, and the transaction took effect on 30 April 2026.
Market context
Vicens Vives was founded in Catalonia in the 1960s and has about 250 employees. Analysts at Inderes called it a small bolt-on worth about 4% of Sanoma Learning's 2025 revenue and judged the multiple moderate.
