Why Pan Pacific Copper Co., Ltd. (JX Advanced Metals, Mitsui Kinzoku, Marubeni) is buying Mitsubishi Materials' copper concentrate purchasing and sales business

The companies said competition from overseas smelters had significantly worsened the terms for buying concentrate from miners and left the outlook for copper smelting uncertain. Combining volumes should increase purchasing power, cut costs by consolidating common functions and improve sales efficiency, while domestic smelters help recover rare and precious metals important to economic security.

Deal terms and financing

PPC will first take over the business from Mitsubishi Materials by an absorption-type split and then transfer it the same day to PPC Material, a new wholly owned subsidiary. Mitsubishi Materials becomes a 32.00% shareholder, diluting JX Advanced Metals from 47.8% to 32.50%, Mitsui Kinzoku from 32.2% to 21.90% and Marubeni from 20.0% to 13.60%. Mitsubishi Materials will continue smelting as a subcontractor to the PPC group, alongside JX Metal Smelting and Hibi Smelting.

Regulatory approvals and timing

The integration was scheduled to take effect on 1 October 2026, subject to filings and approvals from domestic and foreign authorities including the Japan Fair Trade Commission. The final agreement came about two months later than originally planned.

Market context

Fastmarkets' copper concentrate treatment-charge index for Asia-Pacific hit a record low of minus $101 a tonne in early April and was about minus $131 a tonne in late May, squeezing smelters' core revenue. After the deal Japan will have two concentrate buyers, Sumitomo Metal Mining and PPC Material.
