Roche agreed on 7 May 2026 to acquire PathAI, a Boston-based digital pathology and AI company, for $750m upfront and up to $300m in milestone payments.
Why Roche Holding AG is buying PathAI, Inc.
Roche Diagnostics chief executive Matt Sause said digital pathology could improve the precision diagnosis of cancer. Roche plans to scale PathAI's AISight image management system globally alongside its own digital pathology portfolio and use PathAI's tools in clinical trials and translational research.
“Roche's global infrastructure and expertise will bring our digital diagnostics technology to patients worldwide.”
Deal terms and financing
Roche pays $750m upfront, with up to $300m more under a contingent consideration arrangement. PathAI will be reported in the Diagnostics Division.
Regulatory approvals and timing
The acquisition is subject to customary conditions, including antitrust and regulatory approvals, and was expected to close in the second half of 2026.
Market context
Roche and PathAI have worked together since 2021 and expanded the collaboration in 2024 to include AI-enabled companion diagnostic algorithms.
