Seibu Real Estate, a subsidiary of Seibu Holdings, decided on 31 March to launch a tender offer for e'grand at ¥4,858 a share, valuing the shares it sought at about ¥30.0bn.
Why Seibu Real Estate Co., Ltd. (Seibu Holdings) is buying e'grand Co., Ltd.
Seibu said making e'grand a wholly owned subsidiary would allow faster joint decisions and listed expected synergies from group financing, cooperation on hiring, and higher profitability in e'grand's used-home renovation and income-property resale businesses as well as Seibu's resort operations.
Deal terms and financing
The offer covered 6,174,876 shares plus three series of stock options, with a minimum of 4,105,200 shares. The price was a 126.37% premium to the 5 March close and 148.24% to the six-month average. Shareholders holding 24.34%, including founder-related holders, agreed to tender.
Regulatory approvals and timing
The tender closed on 18 May with 5,610,751 shares tendered, above the minimum; settlement began on 25 May, when Seibu Real Estate became e'grand's parent with 90.86% of voting rights (e'grand extraordinary report, 19 May 2026). Seibu said it would acquire the remaining shares and delist the company.
Market context
e'grand, listed on the TSE Standard market, operates a single used-home regeneration segment and in 2021 acquired a renovation contractor to bring building work in-house.
