Kneat.com agreed on 8 June to be acquired by an affiliate of Thoma Bravo for C$6.50 per share in cash, valuing the digital validation software company at about C$650m.
Why Thoma Bravo is buying Kneat.com, inc.
Thoma Bravo said it could apply its operational expertise to Kneat, whose Kneat Gx platform automates validation and quality processes for regulated life sciences manufacturers.
“We are pleased to have reached an agreement that provides shareholders with significant, immediate and certain value.”
Deal terms and financing
Certain directors and managers could roll part of their holdings at the offer price. The deal carried no financing condition, a break fee of about C$22.6m and support agreements covering about 21.9% of the shares.
Regulatory approvals and timing
The plan of arrangement under the Canada Business Corporations Act needed two-thirds of votes cast by shareholders and approval from the Ontario Superior Court of Justice. Thoma Bravo completed the acquisition on 11 August 2026.
Market context
Kneat disclosed a strategic review in May, shortly before agreeing the sale. Its shares had closed at C$6.43 on the day of the announcement.
