Why Yamada Holdings is buying Edion

The companies cited an ageing and shrinking population, the spread of online retail and new entrants from other industries. They expect scale benefits in joint purchasing and other procurement, wider use of their customer data, more private-brand and SPA products, and faster growth in home renovation.

Deal terms and financing

The basic plan is a joint share transfer that would make both companies wholly owned subsidiaries of a new listed holding company. The share-transfer ratio will be set after due diligence and third-party valuations. Noboru Yamada is expected to become chairman and co-CEO and Masataka Kubo president and co-CEO, with each side nominating the same number of directors.

Regulatory approvals and timing

The integration requires shareholder approval at both companies and competition and other regulatory clearances. A definitive agreement is planned for May–June 2027 and completion for 1 October 2027.

Market context

Yamada reported net sales of ¥1.69tn and Edion ¥793.7bn for the year to March 2026. Edion also runs more than 700 franchise stores, an internet service provider and a J.League football club.
