Accenture is to take Global Security Experts private through a tender offer at ¥8,500 a share starting on 2 November 2026, the two companies said on 30 October, with GSX's board recommending shareholders accept.

Why Accenture plc (via Accenture Japan Ltd) is buying Global Security Experts Inc. (GSX)

Accenture said GSX would help it reach mid-tier, mid-sized and smaller companies that it cannot fully serve on its own in Japan's cybersecurity market.

Deal terms and financing

Accenture Japan has signed non-tender agreements with Business Brain Showa-Ota and Kanematsu Electronics, which together hold 59.83%. After the squeeze-out they will sell all their shares to GSX in a buyback priced to give after-tax proceeds equal to tendering. Accenture made a best and final proposal on 7 October and GSX's special committee accepted the terms on 29 October.

Regulatory approvals and timing

Settlement of the tender offer is scheduled for 22 December 2026, with the buyback from the two non-tendering shareholders expected in March 2027.

Market context

Kanematsu said the sale of its GSX stake would lift its fiscal 2027 net profit by about ¥14.5bn. Accenture has made several Japanese acquisitions, including Aidemy and COMWARE.
