Ahlsell, the Swedish technical wholesaler, has launched a recommended public cash offer of CHF 45.50 per share for Meier Tobler Group, valuing the Swiss heating, air-conditioning and building-technology supplier at about CHF 492m, the companies said on 4 November 2026.

Why Ahlsell AB (publ) is buying Meier Tobler Group AG

Ahlsell said the deal would establish it in the Swiss market and extend its footprint into Switzerland and Central Europe. It intends to keep Meier Tobler as an independent company within the group, with the existing management, and to preserve jobs and its local presence in Switzerland while supporting digitalisation and range expansion.

Deal terms and financing

The CHF 45.50 net cash price is about 30.8% above the volume-weighted average price over the 60 trading days before the offer was published. Meier Capital AG, which holds 58.55% of the shares, and its owner, board chairman Silvan G.-R. Meier, have agreed to tender at the same price as other shareholders. The board unanimously recommends acceptance, backed by a fairness opinion from IFBC. The offer requires an 80% minimum acceptance level.

Regulatory approvals and timing

Completion is subject to antitrust and other regulatory clearances. The main offer period runs from 5 November to 2 December 2026, with an additional acceptance period expected from 7 to 18 December, an extraordinary general meeting expected in mid-December and closing in the first quarter of 2027. Ahlsell then intends to delist the shares from SIX Swiss Exchange and, if the legal requirements are met, squeeze out remaining holders.

Market context

Meier Tobler, founded in 1937 and based in Schwerzenbach near Zurich, has about 1,300 employees and reported net sales of CHF 497m in 2025 across trade, heat generation, air-conditioning systems and service. Ahlsell had revenue of about SEK 52bn in 2025, nearly 8,000 employees and about 300 branches in the Nordic and Baltic countries.
