Why Dream Finders Homes is buying Beazer Homes USA

Dream Finders said the deal creates a scaled national homebuilder with complementary footprints, significant synergies and a broader range of homes from entry-level to move-up, and expects it to be double-digit percentage accretive to EPS in year one.

Deal terms and financing

The all-cash price implies 0.8 times Beazer's book value. Dream Finders said financing is secured and reaffirmed its 2026 outlook of 9,250 home closings.

Regulatory approvals and timing

Holders of 80.9% of the votes entitled to be cast were represented at the meeting, and the merger proposal passed with 21,541,108 votes for, 12,898 against and 32,312 abstentions, according to Beazer's filing. The parties previously received early termination of the Hart-Scott-Rodino waiting period. Under the agreement the merger closes on the third business day after the conditions are met; Beazer said it expected to announce completion within the coming days, and HousingWire reported an expected closing date of 20 October. Beazer will then become privately held and delist from the NYSE.

Market context

Beazer builds homes in 15 markets across 13 states. Dream Finders had made several unsolicited proposals for Beazer earlier in 2026.
