ENEOS Holdings has completed its acquisition of TPC Group, the Houston-based processor of C4 hydrocarbons, for US$758m, the Japanese group said on 27 October 2026. The deal closed on 26 October US time, and TPC said on 27 October that its acquisition was complete.

Why ENEOS Holdings, Inc. (via ENEOS Holdings USA Inc.) is buying TPC Holdings, Inc. (TPC Group)

ENEOS said the deal is part of the portfolio restructuring in its fourth medium-term plan. It wants to expand its C4 chemicals business in the US, where shale-gas feedstock is cheap, and to secure butadiene, the main raw material for its elastomers business. ENEOS said the acquisition lifts its butadiene capacity into the global top three.

The companies had said all regulatory approvals were expected in October 2026. Completion has now taken place.

ENEOS Materials will integrate operations with TPC, and Ed Dineen stays on as TPC's president and chief executive.
