Tibet Gaozheng Explosive said on 25 October 2026 that it is planning to issue shares to buy three mining companies from its controlling shareholder, Tibet Geology and Mineral Group, and suspended its Shenzhen-listed shares from 26 October.
Why Tibet Gaozheng Explosive Co., Ltd. is buying Tibet Zilong Mining (51%), Tibet Ziyuan Copper (51%) and Tibet Shengyuan Mining (100%)
The planned injection would take the explosives supplier into mining. The assets include the Mamupu mining rights, a 10.12% stake in Tibet Julong Copper and a 27% stake in Tibet Ali Lagu Resources. Zilong Mining holds 45.9% of Tibet Xianglong Mining, according to corporate records cited by Leida Caijing.
Deal terms and financing
The company would issue shares for 51% of Tibet Zilong Mining, 51% of Tibet Ziyuan Copper and 100% of Tibet Shengyuan Mining, and raise supporting funds through a placement. No price or valuation has been given; the final assets and terms will be set out in a restructuring plan.
Regulatory approvals and timing
The deal is expected to be a major asset restructuring and a related-party transaction but not a backdoor listing. Gaozheng expects to publish the plan within five trading days, by 2 November 2026; if it does not, the shares will resume trading and the plan will be dropped for at least a month.
Market context
Tibet Geology and Mineral Group is Gaozheng's controlling shareholder, so the deal would be a related-party asset injection; the explosives maker supplies the mining sector.
