Kewaunee Scientific Corporation has agreed to acquire Nycom, Inc., which it describes as the largest laboratory dealer in the US, for an initial base purchase price of US$55m, the Statesville, North Carolina company said on 2 November 2026.
Why Kewaunee Scientific Corporation is buying Nycom, Inc.
Kewaunee said the deal brings Nycom's expertise in laboratory design and project delivery closer to its own manufacturing to provide more fully integrated laboratory solutions, and that it intends to use Nycom's operating platform to support organic growth and selective acquisitions across North America. The two companies have worked together for decades.
“We believe there is no better company in our industry at what they do.”
Deal terms and financing
Under the securities purchase agreement, about US$30m will be paid in cash at closing, including US$1m in escrow, funded partly by debt financing from PNC Bank. A further US$20m will be paid through a subordinated seller note and US$5m through newly issued Kewaunee shares subject to a 12-month lock-up. The price is subject to adjustments based on Nycom's adjusted EBITDA and customary adjustments for debt, cash, expenses and working capital.
Regulatory approvals and timing
Both boards have approved the transaction, which is subject to customary closing conditions and is expected to close in the fourth quarter of Kewaunee's fiscal 2027.
