Nippon Shokubai has acquired Goo Chemical, a Kyoto-based maker of electronic and specialty resins, for ¥20.0bn, the Tokyo-listed chemicals group said on 2 November 2026, the day the deal completed.

Why Nippon Shokubai Co., Ltd. is buying Goo Chemical Co., Ltd.

Nippon Shokubai said the deal supports its 2027 medium-term plan to put more resources into its Solutions business, particularly electronics and specialty materials. Goo Chemical's core technologies are emulsification, polymerisation and photosensitive materials. Nippon Shokubai said that combining the two companies' technologies would speed development of semiconductor products, and that each would gain access to the other's sales channels and customers in Japan and abroad.

Deal terms and financing

Nippon Shokubai bought all 3.52 million Goo Chemical shares for ¥20.0bn: 80% from MCP5 Investment Limited Partnership, whose general partner is Cobalt Investment, and 20% from individual shareholders. Its board approved the purchase on 9 September and the share purchase agreement was signed on 16 October. Goo Chemical already buys acrylic acid and other materials from Nippon Shokubai.

Regulatory approvals and timing

The deal completed on 2 November 2026. Nippon Shokubai disclosed it voluntarily because it fell below the Tokyo Stock Exchange's mandatory disclosure thresholds, and expects only a minor effect on its results for the year to March 2027.

Market context

Goo Chemical was founded in 1953 and is based in Uji, Kyoto Prefecture. In the year to March 2026 it reported sales of ¥6.93bn, operating profit of ¥846m and net profit of ¥771m.
