Grupo Traxión said on 20 October 2026 that holders of 49.2% of its shares had tendered into a MXN13.18-a-share cash offer from Pantera Holdings, a vehicle of executive chairman Aby Lijtszain.

Deal terms and financing

The offer, launched on 22 September through Casa de Bolsa Santander, covered up to all 542,382,858 shares outstanding and expired on 20 October. Some 267,011,256 shares were accepted, an outlay that El CEO put at MXN3,519.2m against the roughly MXN7,149m needed to buy every share.

Regulatory approvals and timing

Because the offer was not a delisting offer under article 108 of Mexico's Securities Market Law, Traxión remains listed and subject to issuer obligations.

Market context

Traxión, founded in 2011, operates freight mobility, logistics and technology, and personnel transport businesses, with more than 10,800 power units and 25,500 employees.
