Rockwell Medical has agreed to acquire most of Vantive's hemodialysis assets and operations for a base price of US$125m, the two companies said on 3 November 2026.
Why Rockwell Medical, Inc. is buying Vantive's in-centre hemodialysis business
Rockwell said the deal is a step in its strategy to move from a US-based concentrates business to a diversified global supplier of hemodialysis products and services. It adds HD machines including the AK-98, water treatment systems, consumables, technical services and a manufacturing campus of more than one million square feet in Medolla, Italy. Rockwell estimates the combined business could generate US$400m to US$450m of annual revenue.
“Acquiring Vantive's hemodialysis assets and associated operations represents a transformative step in Rockwell Medical's evolution and directly advances the strategy we have been executing over the past several years,”
Deal terms and financing
The base purchase price is US$125m, subject to customary adjustments, financed through two US$50m term loans from Vantive and a US$25m convertible note issued to Vantive with an initial conversion price at a 100% premium to Rockwell's 15-day volume-weighted average share price. Vantive may receive up to US$45m of further contingent consideration tied to revenue and EBITDA milestones. Rockwell will buy the equity of Gambro Dasco S.p.A. and Vantive Korea and other business assets, with some country transfers deferred after the main closing.
Regulatory approvals and timing
Completion is expected in mid-2027, subject to required regulatory approvals and other customary conditions.
