Challenger said on 26 October 2026 that the A$11.80-a-share proposal from TAL Daiichi Life Australia is not at a level its board could recommend to shareholders, a week after disclosing the A$7.94bn approach.
Deal terms and financing
The indicative offer would be implemented by scheme of arrangement and represents a 17.7% premium to Challenger's one-month volume-weighted average price of A$10.03. It is conditional on satisfactory due diligence, entry into a scheme implementation agreement on acceptable terms, regulatory approvals and a recommendation from Challenger's board. The proposal was received after market close on Friday 16 October.
Regulatory approvals and timing
Challenger runs an APRA-regulated life company, and the proposal is subject to approval from various regulatory bodies.
Market context
TAL Daiichi Life Australia already holds about 20% of Challenger, a stake that originated in a minority holding acquired from MS&AD Insurance Group. After considering the offer with regard to Challenger's value and prospects, the board said it would engage with TDA to see whether a proposal it could recommend can be reached. It warned there is no certainty of a binding offer or a transaction, and said shareholders need take no action.
