Third Coast Bancshares said on 7 October 2026 that it would acquire Great Plains Bancshares, the parent of Oklahoma City-based Great Plains National Bank, in an all-stock deal valued at about US$239.6m.

Why Third Coast Bancshares, Inc. is buying Great Plains Bancshares, Inc.

Third Coast said the combination brings together two relationship-driven community banks, expands its Dallas presence and establishes its entry into the Oklahoma market. Great Plains will continue to operate under its brand as a division of Third Coast Bank.

Deal terms and financing

Great Plains shareholders will receive Third Coast common stock, with Third Coast expecting to issue 5,570,352 shares. Third Coast shareholders will own about 78% of the combined company. Two Great Plains representatives will join the Third Coast boards, and Great Plains chief executive Mark Russell will remain in a leadership role.

Regulatory approvals and timing

The deal requires customary regulatory approvals and the approval of shareholders of both companies. It is expected to close in the first quarter of 2027.

Market context

Great Plains, which has served western Oklahoma for more than 100 years, had about US$1.9bn of assets, US$1.7bn of loans and US$1.7bn of deposits at 30 June 2026. Third Coast operates 20 branches across Houston, Dallas-Fort Worth and Austin-San Antonio.
